An Authorised Company is a Mauritius incorporated company designed for qualifying business conducted principally outside Mauritius where central management and control is also outside Mauritius. It is therefore structurally different from a Global Business Corporation, which is managed and controlled from Mauritius.

Ownership

Majority of shares / voting rights / legal or beneficial interest must be held or controlled by a person who is not a citizen of Mauritius.

Business location

Business is conducted principally outside Mauritius or with permitted categories of persons.

Management & control

Central management and control must be outside Mauritius.

Application route

Application is made through a Mauritius licensed Management Company.

Registered agent

Must at all times have a registered agent in Mauritius, which must be a Management Company.

Annual filing

Financial summary filed with the FSC within 6 months after the close of the financial year.

Activity restrictions

An Authorised Company cannot conduct activities restricted under the Financial Services Act / FSC Rules unless specifically permitted.
